Affiliate Program Terms & Conditions

1.1 Eligibility Requirements

To participate in the Program, you must:

• Be at least 18 years of age
• Have a valid email address and payment method
• Operate a legitimate website, blog, social media presence, or business
• Not be a current Mai Tech CMMS customer using the Program primarily for self-referral
• Comply with all applicable laws and regulations in your jurisdiction

1.2 Application Review

All applications are subject to review and approval by Mai Tech. We reserve the right to accept or reject any application at our sole discretion. Application approval does not guarantee continued participation in the Program.

1.3 Account Information

You agree to provide accurate, current, and complete information during enrollment and to update such information to keep it accurate, current, and complete.

2.1 Commission Structure

Affiliates earn commissions on qualified referrals based on the following structure:

• Commission Rate: Determined by your affiliate agreement based on referral volume and performance
• Commission Duration: Commission terms are determined by your affiliate agreement and may be subject to change
• Custom Rates: Mai Tech may offer custom commission rates to select affiliates at its discretion

2.2 Referral Attribution

Referrals are tracked using cookies with the following terms:

• Cookie Duration: 90 days from the initial referral click
• Attribution: First-click attribution model (the first affiliate link clicked receives credit)
• Qualified Referral: A referral is "qualified" when the referred user signs up for a paid subscription and completes their first payment

2.3 Commission Exclusions

Commissions will NOT be paid for:

• Self-referrals (referring yourself or your own company)
• Fraudulent, fake, or duplicate accounts
• Referrals that result in chargebacks or refunds within 30 days
• Referrals from customers who already have or had a Mai Tech account
• Referrals obtained through prohibited promotional methods (see Section 4)

3.1 Payment Schedule

Payouts are processed monthly, typically within the first 15 days of each month for commissions earned in the previous month. All commissions are held for a 30-day period to account for potential refunds or chargebacks.

3.2 Minimum Payout

The minimum payout threshold is $50 USD. If your balance is below this amount, it will roll over to the next payment period. Balances do not expire as long as your account remains active and in good standing.

3.3 Payment Methods

We currently support the following payment methods:

• PayPal
• Bank Transfer (ACH for US, Wire for International)
• Check (US only, $25 processing fee applies)

3.4 Taxes

You are responsible for all taxes associated with your affiliate earnings. US-based affiliates earning over $600 annually will receive a 1099 form. International affiliates may be subject to withholding taxes based on applicable tax treaties.

4.1 Deceptive Practices

• Making false, misleading, or exaggerated claims about Mai Tech products
• Impersonating Mai Tech employees or official company communications
• Using fake reviews, testimonials, or endorsements
• Cloaking affiliate links to hide their destination

4.2 Trademark & Brand Violations

• Bidding on Mai Tech branded keywords ("Mai Tech", "Mai CMMS", etc.) in paid advertising
• Registering domain names containing Mai Tech trademarks
• Using Mai Tech logos or branding without prior written approval

4.3 Spam & Unsolicited Communications

• Sending unsolicited bulk emails (spam)
• Posting affiliate links in comments, forums, or social media in a spammy manner
• Using automated bots or scripts to generate clicks or referrals

4.4 Incentivized Traffic

• Offering cash, rebates, or discounts to users who sign up through your link (unless specifically authorized)
• Using "get paid to" sites or traffic exchanges
• Cookie stuffing or forced clicks

4.5 Illegal Activities

• Any activity that violates local, state, federal, or international laws
• Promoting Mai Tech on websites containing illegal, adult, or objectionable content

5.1 Term

This Agreement begins upon your acceptance and continues until terminated by either party.

5.2 Termination by Affiliate

You may terminate your participation at any time by contacting our affiliate support team. Pending commissions meeting the minimum payout threshold will be paid according to the regular payment schedule.

5.3 Termination by Mai Tech

Mai Tech reserves the right to terminate your participation at any time, for any reason, with or without notice. Reasons for termination may include:

• Violation of these Terms and Conditions
• Fraudulent activity or suspected fraud
• Extended period of inactivity (no referrals for 12+ months)
• Program discontinuation

5.4 Effect of Termination

Upon termination, you must immediately cease all use of Mai Tech marketing materials, trademarks, and affiliate links. Commissions earned prior to termination that meet our policies will be paid, except in cases of fraud or policy violations where commissions may be forfeited.

6.1 Disclaimer of Warranties

THE PROGRAM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. MAI TECH MAKES NO GUARANTEES REGARDING COMMISSION EARNINGS, CONVERSION RATES, OR CONTINUED AVAILABILITY OF THE PROGRAM.

6.2 Limitation of Liability

IN NO EVENT SHALL MAI TECH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN THE PROGRAM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT OF COMMISSIONS ACTUALLY PAID TO YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

6.3 Indemnification

You agree to indemnify and hold harmless Mai Tech, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your promotional activities, violation of these terms, or infringement of any third-party rights.

8.1 Entire Agreement

This Agreement constitutes the entire agreement between you and Mai Tech regarding the Affiliate Program and supersedes all prior agreements and understandings.

8.2 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

8.3 Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.
