These Terms of Service ("Terms") govern your access to and use of Mai CMMS, a Computerized Maintenance Management System provided by Mai Tech ("we," "our," or "us"). By creating an account, accessing, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2Description of Service

Mai CMMS is a cloud-based maintenance management platform that enables organizations to:

• Track and manage physical assets
• Create, assign, and monitor work orders
• Schedule preventive maintenance
• Manage parts inventory
• Generate reports and analytics
• Coordinate maintenance teams

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time.

3User Accounts

To use Mai CMMS, you must:

• Create an account with accurate and complete information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access
• Be at least 18 years old or have parental consent

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4Subscription and Payment

Mai CMMS offers various subscription plans with different features and pricing:

• Free Trial: Limited access to evaluate the service
• Basic Plan: Core CMMS features for small teams
• Professional Plan: Advanced features for growing organizations
• Enterprise Plan: Full features with premium support

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days notice.

5Acceptable Use

You agree not to:

• Use the service for any illegal purpose
• Upload malicious code or content
• Attempt to gain unauthorized access to our systems
• Interfere with other users' access to the service
• Reverse engineer or copy our software
• Use the service to send spam or unsolicited communications
• Resell or redistribute the service without authorization

6Data and Content

You retain ownership of all data and content you upload to Mai CMMS. By using our service, you grant us a limited license to store, process, and display your content as necessary to provide the service.

You are responsible for maintaining backups of your data. While we implement reasonable security measures, we are not liable for data loss due to circumstances beyond our control.

7Intellectual Property

Mai CMMS, including its design, features, and content, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any part of our service without written permission.

To the maximum extent permitted by law, Mai Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the service.

Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the twelve months preceding the claim.

10Indemnification

You agree to indemnify and hold harmless Mai Tech and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload to the service

11Termination

Either party may terminate these Terms at any time. Upon termination:

• Your access to the service will be suspended
• You may request export of your data within 30 days
• We may delete your data after the retention period
• Provisions that should survive termination will remain in effect

12Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of competent jurisdiction.

13Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the service. Continued use of the service after changes take effect constitutes acceptance of the revised Terms.
